Terms of Service

Welcome to Cardinal Refer, a service provided by Refer Services, Inc. ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, services, and applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Services.

1. Definitions

  • 1.1 "User": Refers to any individual or company who accesses or uses our Services.
  • 1.2 "Candidate": Refers to any individual seeking employment through our Services.
  • 1.3 "Company": Refers to any organization or entity seeking candidates through our Services.
  • 1.4 "Content": Refers to any text, images, videos, or other materials available through our Services.
  • 1.5 "Services": Refers to all the products, services, applications, and websites provided by Cardinal Refer.

2. Use of Services

2.1 Eligibility

Users must be at least 16 years old to access and use our Services. By using our Services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of the terms and conditions set forth herein.

2.2 User Responsibilities

  • Users agree to use the Services only for lawful purposes and in accordance with these Terms.
  • Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
  • Users must not use the Services to engage in any unlawful or prohibited activities, including but not limited to:
    • Violating any applicable laws or regulations.
    • Posting or transmitting harmful, threatening, defamatory, or obscene content.
    • Attempting to interfere with the operation of the Services or to access data not intended for them.
    • Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

2.3 Account Creation

To access certain features of our Services, both Candidates and Companies must create an account. Users agree to provide accurate and complete information during the registration process and to update this information as necessary. We reserve the right to suspend or terminate any account that we believe, in our sole discretion, is based on inaccurate or misleading information.

3. Services for Candidates

3.1 Service Overview

Cardinal Refer provides job matching and referral services to Candidates, connecting them with potential employers who align with their skills and career goals.

3.2 Payment Terms

Candidates will only be required to make a payment if they are successfully hired through Cardinal Refer's referral. The payment is a one-time fee of 20% of the Candidate's first monthly salary, payable upon the Candidate's receipt of their first paycheck. Candidates agree to provide accurate salary information to Cardinal Refer for the purpose of calculating this payment.

3.3 Refund Policy

If a Candidate's employment is terminated within 30 days of their start date, they may be eligible for a full refund of the payment, provided they notify Cardinal Refer within 15 days of the termination. Refunds will be issued at the discretion of Cardinal Refer, based on the circumstances of the termination.

3.4 Use of Data

Candidate data is used solely for the purpose of matching with potential employers and facilitating job placements. Candidate information will only be shared with Companies that have expressed interest in the Candidate's profile, and only with the Candidate's consent.

4. Services for Companies

4.1 Service Overview

Cardinal Refer offers Companies a platform to connect with top-tier candidates, particularly Stanford alumni. Companies can review candidate profiles, request interviews, and make hiring decisions directly through our platform.

4.2 Free Access

Cardinal Refer is free for Companies. There are no fees for posting job openings, reviewing candidate profiles, or hiring candidates through the platform. However, Cardinal Refer reserves the right to introduce premium services or features in the future, which may be subject to fees.

4.3 Data Usage

Companies are granted access to candidate profiles solely for the purpose of evaluating potential hires. Companies agree to use candidate data in accordance with applicable laws and regulations, including data protection and privacy laws. Unauthorized sharing or misuse of candidate data is strictly prohibited and may result in the termination of access to our Services.

4.4 Compliance

Companies must adhere to all relevant employment laws and regulations, including but not limited to anti-discrimination laws, when using Cardinal Refer's Services. Cardinal Refer reserves the right to terminate access to the platform for any Company found in violation of these laws.

5. Intellectual Property

5.1 Content Ownership

All content available through our Services, including text, graphics, logos, images, and software, is the property of Cardinal Refer or our licensors. This content is protected by intellectual property laws and may not be used without our express written consent, except as permitted by law.

5.2 User-Generated Content

Candidates and Companies may upload or post content, such as resumes or job descriptions, to the platform. By doing so, users grant Cardinal Refer a non-exclusive, royalty-free, worldwide license to use, display, and distribute this content for the purpose of providing the Services. Users retain ownership of their content but acknowledge that Cardinal Refer may use it for promotional or marketing purposes related to the Services.

6. Dispute Resolution

6.1 Informal Resolution

If a dispute arises between a User and Cardinal Refer, the parties agree to first attempt to resolve the dispute informally by contacting us at [email contact]. If the dispute is not resolved within 30 days, either party may initiate formal dispute resolution procedures as outlined in these Terms.

6.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of California, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

6.3 Class Action Waiver

Users agree to waive any right to participate in class action litigation or class-wide arbitration. All disputes must be resolved on an individual basis, and claims may not be combined with those of others.

7. Termination of Service

7.1 Termination Rights

Cardinal Refer reserves the right to suspend or terminate any account or access to the Services at any time, with or without cause, and without notice. Grounds for termination may include, but are not limited to, violation of these Terms, misuse of the platform, or illegal activities.

7.2 Effect of Termination

Upon termination of a user's account, all associated data will be deleted, and any active job applications or processes will be canceled. Users will have the opportunity to download their data before termination, upon request.

8. Privacy and Data Security

8.1 Data Handling

Cardinal Refer is committed to protecting user data and follows industry-standard practices for data encryption, secure storage, and access control. User data is only shared with third parties as necessary for the provision of our Services and in accordance with our Privacy Policy.

8.2 Third-Party Sharing

Cardinal Refer may share data with third-party service providers, such as analytics providers or marketing tools, to enhance our Services. All third-party providers are required to adhere to the same data protection standards as Cardinal Refer.

8.3 GDPR/CCPA Compliance

Cardinal Refer is committed to compliance with the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA). Users located in the European Economic Area (EEA) or California have specific rights regarding their personal data, including (i) the right to access a copy of the personal data we hold about them; (ii) the right to request the correction of inaccurate or incomplete data; (iii) the right to request the deletion of their personal data under certain conditions; (iv) the right to request the limitation of processing their personal data; (v) the right to request to receive their data in a commonly used, machine-readable format; (vi) the right to object to the processing of their personal data for direct marketing purposes; and (vii) the right to withdraw their consent to data processing at any time, where applicable. To exercise these rights, users should contact Cardinal Refer via the contact information provided in Section 14 of these Terms. We will respond to requests within the timeframes required by law.

9. Limitation of Liability

9.1 Company's Liability

To the fullest extent permitted by law, Cardinal Refer, its affiliates, and its respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party; or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

9.2 No Guarantee of Employment

Cardinal Refer does not guarantee employment for any Candidate, nor does it guarantee the availability of suitable candidates for any Company. The Services are provided on an "as is" basis, and Cardinal Refer makes no representations or warranties regarding the success of any job placement or the quality of any candidates or job openings.

10. Modifications to Services

10.1 Changes to Services and Terms

Cardinal Refer reserves the right to modify or discontinue any aspect of the Services at any time. Significant changes to these Terms will be communicated to users via email or through a notice on our website. Continued use of the Services after any such changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Users agree to submit to the personal jurisdiction of the courts located in Palo Alto, California, for the resolution of any disputes arising out of or relating to these Terms or the Services.

12. Indemnification

Users agree to indemnify, defend, and hold harmless Cardinal Refer, its affiliates, and its respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

13. Miscellaneous

13.1 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.2 Waiver

The failure of Cardinal Refer to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

13.3 Assignment

Users may not assign or transfer these Terms, by operation of law or otherwise, without Cardinal Refer's prior written consent. Any attempt by a user to do so will be null and void. Cardinal Refer may assign or transfer these Terms, at its sole discretion, without restriction.

13.4 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Cardinal Refer regarding the use of the Services and supersede any prior agreements or understandings, whether written or oral.
